Acme renewal, risk memo
This memo covers the master agreement, the data processing addendum, both statements of work, and the order form as they stand before the renewal date of 30 September.
Acme Technologies Ltd as customer and Northwind Systems BV as supplier. The reseller agreement sits outside this renewal. No affiliate becomes a contracting party merely because it receives services or accesses the platform.
Either party may terminate on 30 days written notice, and the DPA follows the MSA on this point. Notice must be delivered to the contractual notice address before the renewal date to prevent another annual term.
Three years from the effective date, with the order form renewing annually inside it unless notice is given.
The cap is twelve months of fees, raised to eighteen by the first amendment. Breach of the data terms sits outside the cap, and each statement of work carries its own six month cap.
Processing stays in the EU, and the DPA rules out US subprocessors entirely.
The addendum requires a yearly audit and keeps processing inside the EU. Findings from the last review were closed before signature.
